Description of the Services

Kutlerri provides an AI platform for restaurant operators consisting of multiple AI agents, including the Catering Agent, which conducts catering lead generation and email outreach. Features and agents may change over time. Features identified as "Pilot" or "Preview" are early-stage, may be modified or discontinued at any time, and are provided as-is.

Eligibility, accounts, and organizations

• You must be at least 18 and able to form a binding contract.
• If you accept these Terms on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.
• Organization accounts have an account owner, who controls the organization's data and may add or remove members. All members' use of the Services is subject to these Terms.
• You are responsible for the accuracy of registration information and for safeguarding your account credentials.
• You are responsible for all activity that occurs under your account.

Connecting email accounts

• Certain agents require an email connection, in one of two modes: (a) you connect a third-party account (for example, Google/Gmail), or (b) Kutlerri provisions and manages a dedicated outreach mailbox for your business.
• By connecting a third-party account, you authorize Kutlerri to access and process data from that account as described in our Privacy Policy.
• Your use of Google services through Kutlerri is also subject to Google's terms and policies.
• You may disconnect at any time; some features will stop working without the connection.

Agent authorization

By enabling an agent, you authorize Kutlerri and the agent to take the configured actions on your behalf, including identifying prospects, drafting, sending, and replying to email, and managing the connected or provisioned mailbox, in accordance with your configuration and approval settings.

You are responsible for reviewing and maintaining your agent configuration and approval settings. AI-generated content may contain errors; you remain responsible for communications sent on your behalf through the Services.

Acceptable use

You agree not to:

• Use the Services to send spam, unlawful, deceptive, or harassing communications, or to violate any anti-spam or marketing laws (for example, CAN-SPAM and, where applicable, GDPR/ePrivacy);
• Send email to recipients without a lawful basis or required consent;
• Violate any applicable law or third-party rights;
• Reverse engineer, scrape, or interfere with the Services or their security; or
• Use the Services to build a competing product.

Note: You are solely responsible for the content of outreach messages sent through the Catering Agent and for compliance with applicable email and marketing laws.

Fees and payment

• Certain features require a paid subscription. Current plans and pricing are published at kutlerri.ai/pricing and presented at purchase. Billing is currently handled by invoice.
• When self-serve billing is available, paid subscriptions renew automatically at the end of each billing cycle unless cancelled. You may cancel at any time, effective at the end of the current billing period.
• Fees are non-refundable except as required by law or expressly stated. We may change pricing with notice; changes take effect at your next billing cycle.

Intellectual property

• The Services, including all software, content, and trademarks, are owned by Kutlerri or its licensors and are protected by intellectual property laws.
• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes.

Your content and data

• You retain ownership of data you provide and of your business/customer data.
• You grant Kutlerri a limited license to use, process, and store your data solely to provide and improve the Services, consistent with the Privacy Policy and Google's Limited Use requirements.
• You represent that you have the rights and any necessary consents for the data and contacts you upload or contact through the Services.

Outreach domains

• Kutlerri may register and manage dedicated outreach domains on your behalf to protect the deliverability of your primary domain. During the service, these domains are managed by Kutlerri.
• Upon termination, you may request transfer of the outreach domains registered for your business; from the date of transfer you assume all registration, hosting, and related costs. Domains not transferred are retired.

Third-party services

The Services integrate with third-party services (for example, Google). We are not responsible for third-party services, and your use of them is governed by their terms.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated outputs will be accurate or suitable for any purpose.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KUTLERRI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold Kutlerri harmless from claims arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

Termination

• We may suspend or terminate your access for violation of these Terms or for any conduct that risks harm to us or others. You may stop using the Services at any time.
• Upon termination, your right to use the Services ends. For 45 days after termination we will, on request, make your data available for export, after which it is deleted in accordance with the Privacy Policy. Outreach domain transfer is handled under "Outreach domains."
• Certain provisions survive termination (for example, IP, disclaimers, limitation of liability, indemnification).

Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of laws rules.

General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Kutlerri regarding the Services, subject to any separately signed agreement with Kutlerri.
• Severability. If any provision is unenforceable, the remaining provisions remain in effect.
• Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or asset sale.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
• Notices. We may provide notices to the email address on your account. Notices to Kutlerri should be sent to support@kutlerri.ai or our mailing address below.
• Publicity. We may identify you as a customer, including by using your name and logo, unless you opt out by written request.

Changes to these Terms

We may modify these Terms from time to time. We will post the updated version with a new "Last updated" date and, where required, provide notice. Continued use after changes constitutes acceptance.
